Please read these Terms of Service (“Terms”) carefully before using incorpme.com or purchasing any product or service from IncorpMe (“we,” “us,” “our”). By accessing our website or making a purchase, you agree to be bound by these Terms.

1. Educational Content: Not Legal, Tax, or Financial Advice

All guides, calculators, templates, and other content provided by IncorpMe are for educational and informational purposes only. Nothing on incorpme.com constitutes legal, tax, financial, or professional advice. The information we provide reflects general procedures and may not apply to your specific circumstances. You should consult a qualified attorney, CPA, or other licensed professional for advice tailored to your situation.

2. Our Products and Services

IncorpMe offers two categories of products:

  • LLC Guide: A video guide teaching non-residents how to form a US LLC, obtain an EIN, open US business banking, and maintain ongoing compliance.
  • File My LLC (Done-For-You) Services: Services where our team handles LLC formation, EIN application, registered agent setup, and related tasks on your behalf based on the information you provide.

3. Eligibility

You must be at least 18 years old to purchase our products or engage our services. By completing a purchase, you confirm that you have the legal capacity to enter into a binding contract under the laws of your jurisdiction.

4. Accounts and Access

LLC Guide access is delivered through our learning portal at learn.incorpme.com. DFY service updates and completed documents are delivered through our client portal at portal.incorpme.com. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Accounts are personal and non-transferable. You are also solely responsible for keeping your own personal, business, and financial information secure and private, including the security of your devices, email accounts, and any documents we deliver to you. IncorpMe is not responsible for any loss, breach, or unauthorized access resulting from your own handling of your information.

5. Payments

All prices are displayed in US dollars (USD). Payment is due in full at the time of purchase. We accept the payment methods listed in our portals, including manual payment options. Access to guides and initiation of DFY services begins only after payment is confirmed. We reserve the right to change prices at any time; price changes do not affect purchases already completed.

6. Intellectual Property

All guide materials, videos, templates, graphics, and website content are owned by IncorpMe or its licensors and are protected by applicable intellectual property laws. Your purchase grants you a limited, personal, non-commercial, non-transferable license to access and use the materials for your own learning and business formation purposes. You may not:

  • Reproduce, copy, or distribute guide content to any third party
  • Resell, sublicense, or commercially exploit our materials
  • Share account credentials with others
  • Record, screen-capture, or otherwise copy video lessons for redistribution

7. Accuracy of Information You Provide

For DFY services, you are solely responsible for the accuracy, completeness, and legality of all information and documents you submit. IncorpMe relies on your submitted information and is not responsible for delays, government rejections, errors, or additional fees resulting from inaccurate or incomplete information you provided.

8. Your Responsibility and Full Release of Liability

You are solely and fully responsible for your own actions, decisions, and filings. IncorpMe provides educational materials and administrative assistance only; you retain complete responsibility for how you use them and for the accuracy of everything you submit to any government agency, bank, or third party.

To the maximum extent permitted by law, IncorpMe and its team shall not be liable, under any circumstances, for any penalties, fines, back taxes, interest, rejections, audits, legal consequences, or additional costs that arise from:

  • any error, omission, misstatement, or mistake in the information or documents you provide or file;
  • your failure to file, renew, or maintain any required registration, report, tax return, or compliance obligation;
  • your misunderstanding or misapplication of the educational content we provide; or
  • any action or decision you take based on our materials.

You acknowledge that you file and operate your business at your own risk, and that any consequences of your own actions or inactions are your sole responsibility.

9. Third-Party Services and Government Agencies

US LLC formation and related processes involve third-party government agencies, financial institutions, and service providers, including state secretaries of state, the IRS, and registered agent providers. We are not responsible for the decisions, delays, processing times, or actions of these third parties. Government and state filing fees are set by those agencies and are subject to change without notice.

10. Disclaimer of Warranties

Our products and services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that filing procedures, government requirements, or banking eligibility criteria will remain unchanged, or that any specific outcome, such as EIN approval, bank account opening, or business registration, is guaranteed. Results depend on factors outside our control, including government agency decisions.

11. Limitation of Liability

To the maximum extent permitted by applicable law, IncorpMe’s total cumulative liability for any claims arising from your use of our products or services shall not exceed the total amount you paid for the specific product or service giving rise to the claim. IncorpMe is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

12. Indemnification

You agree to defend, indemnify, and hold harmless IncorpMe and its team from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your misuse of our products or services; (c) inaccurate or incomplete information you provided; or (d) your violation of any applicable law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict of law principles. Before initiating any formal legal proceeding, you agree to contact us at support@incorpme.com and attempt to resolve the dispute informally for a period of at least 30 days. If informal resolution fails, disputes shall be resolved exclusively in the state or federal courts located in New Mexico, and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the “Last updated” date above and, where appropriate, by email. Continued use of our products or services after changes take effect constitutes your acceptance of the revised Terms.

15. Acceptance Covers All Policies

By accessing our website, creating an account, or completing a purchase, you confirm that you have read, understood, and agreed to all of the following policies, which together form the complete agreement between you and IncorpMe:

  • Terms & Conditions (this document) — governs your use of our website, products, and services
  • Privacy Policy — explains what personal data we collect, how we use it, and your rights
  • Refund Policy — sets out eligibility, timelines, and conditions for refunds on all products and services
  • Service Policy — defines the scope, limitations, and delivery process for our Done-For-You filing services

At checkout, you will be asked to confirm your acceptance of all four policies by ticking a checkbox before your order is submitted. If you do not agree to any of these policies, you must not purchase from or use IncorpMe.

16. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Service Policy, constitute the entire agreement between you and IncorpMe regarding your use of our products and services. In the event of any conflict between documents, these Terms take precedence.
